Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, products, and websites provided by Bitforge Softworks Inc. ("Bitforge," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using any services provided by Bitforge Softworks Inc., you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Services

Bitforge provides software development, AI-powered automation, SaaS products, and related technology services ("Services"). We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Accounts

Some Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Payment Terms

If you purchase any paid Services, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated in a separate agreement. We reserve the right to change pricing with 30 days' prior notice.

5. Intellectual Property

All intellectual property rights in the Services, including software, designs, documentation, and trademarks, are owned by Bitforge Softworks Inc. or its licensors. Unless otherwise specified in a separate agreement:

• Custom software developed for clients is subject to the terms of the applicable project agreement.
• You may not copy, modify, distribute, or reverse engineer any part of our proprietary Services.

6. Client Data

You retain ownership of all data you provide to us ("Client Data"). We will process Client Data only as necessary to provide the Services and in accordance with our Privacy Policy. We implement reasonable security measures to protect Client Data.

7. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law or regulation;
• Infringe upon the intellectual property rights of others;
• Transmit malicious code, spam, or harmful content;
• Attempt to gain unauthorized access to our systems or other users' accounts;
• Interfere with the proper functioning of the Services.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Bitforge Softworks Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services. Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Bitforge Softworks Inc. and its directors, officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or your violation of these Terms.

10. Termination

Either party may terminate these Terms at any time with written notice. Upon termination, your right to access the Services will cease immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law will survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
